1. Agreement to these Terms

By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business or other organization (for example, a studio, school or fitness center), you agree to these Terms on its behalf and confirm that you are authorized to do so. In that case, “you” means that organization. If you do not agree to these Terms, do not use the Service.

2. Accounts and eligibility

  • You must be at least 18 years old and able to form a binding contract to create a business account.
  • You agree to provide accurate information and to keep it up to date.
  • You are responsible for your login credentials and for everything that happens under your account, including activity by staff members you invite and the access permissions you give them. Tell us promptly at [email protected] if you suspect unauthorized access.
  • Parents, guardians and students who use a portal set up by a business that uses the Service do so under that business’s arrangements. These Terms govern our relationship with that business.

3. Plans, fees and billing

  • Free and paid features. Core management features are offered free of charge. Some features, such as automations, text messaging, AI chat and phone assistants and other add-ons, require a paid subscription or usage-based fees, as described on our pricing page or in your account.
  • Billing. Subscriptions are billed in advance and renew automatically each billing period until cancelled. Usage-based charges, such as text messages or AI phone minutes, are billed as incurred. Payments are processed by our payment processor, Stripe; we do not store your full card number.
  • Taxes. Fees do not include taxes unless stated. You are responsible for applicable taxes other than taxes on our income.
  • Price changes. We may change prices with at least 30 days’ notice. Changes take effect at the start of your next billing period.
  • Cancellation and refunds. You can cancel a subscription at any time; it stays active until the end of the current billing period. Except where required by law, fees already paid are non-refundable, including for partial periods.
  • Non-payment. If a payment fails, we may suspend paid features until the balance is paid.

4. Payments you collect from your customers

If you use the Service to send invoices or collect payments from your own customers, payments are processed through your own Stripe account and are subject to Stripe’s terms. We are not a party to transactions between you and your customers. You are responsible for your prices, refunds, chargebacks, disputes, taxes and any disclosures you must give your customers.

5. Your data

  • Ownership. You own the information you and your staff enter into the Service, and the information collected from your customers through it, such as member, student, parent and lead details, attendance, notes, messages and bookings (“Customer Data”).
  • Our use. You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy. We do not sell Customer Data.
  • Your responsibilities. You are responsible for the accuracy and lawfulness of Customer Data, and for giving any notices and obtaining any consents required to collect and use it, including consent to contact people by text message, email or phone.
  • Sensitive information. Do not enter payment card numbers, government ID numbers or health records into free-text fields. Use the payment features provided for card payments.
  • Export. You can export your data while your account is active, using the export tools in the Service or by contacting us.

6. Information about children

Many businesses that use the Service teach children. The Service is intended to be used by adults: business owners, staff, parents and guardians. Where you store or collect information about children, you are responsible for obtaining any consent required from a parent or guardian under applicable law, including the U.S. Children’s Online Privacy Protection Act (COPPA), and for using that information only for your educational and administrative purposes. We process information about children only on your behalf and only to provide the Service to you.

7. Text messages, email and calls

The Service lets you send text messages and emails and run automated messages, reminders and AI phone calls. When you use these features:

  • You are responsible for having the consent required by law, such as the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act and wireless carrier rules, before you contact anyone, and for the content of your messages.
  • Opt-out requests (for example, a reply of STOP) are honored automatically. You must not try to contact people who have opted out.
  • Text messaging may require carrier registration (such as A2P 10DLC). Carriers may filter, delay or block messages, and their fees and policies are outside our control.
  • We may limit, pause or suspend messaging that we reasonably believe is unlawful, unwanted, or harmful to delivery for other customers.

8. AI features

The AI chat and phone assistants and other AI features generate responses automatically, based on the information and settings you provide. AI output can be incomplete or inaccurate, so you are responsible for configuring these features and for reviewing what they tell your customers. They are not intended for emergencies or for medical, legal or financial advice. If AI phone calls are recorded or transcribed, you are responsible for any notice or consent required by the call-recording laws that apply to you and your callers. To provide AI features, relevant content is processed by our AI service providers, as described in our Privacy Policy.

9. Third-party services

The Service works with third-party services that you choose to connect, such as Google Calendar, Zoom, QuickBooks, Stripe and Zapier. Your use of those services is governed by their own terms and privacy policies. When you connect one, you authorize us to exchange the data needed to make the integration work. We are not responsible for third-party services, and a connection may stop working if the third party changes or revokes it.

10. Acceptable use

You agree not to, and not to let anyone else:

  • use the Service in violation of any law or regulation, or to infringe anyone’s rights;
  • send spam or other unsolicited messages, or messages that are deceptive, harassing, hateful, sexually explicit or otherwise objectionable;
  • upload malware, or try to gain unauthorized access to the Service, other accounts or our systems;
  • interfere with or overload the Service, or get around usage limits or security measures;
  • copy, scrape, reverse engineer or resell the Service except as permitted by law or with our written permission;
  • use the Service to build a competing product.

11. Intellectual property

The Service, including its software, design, text, logos and other content we provide, belongs to Users Business Solutions and its licensors and is protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes while your account is active. If you send us feedback or suggestions, we may use them without any obligation to you.

12. Availability and changes to the Service

We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, and we may add, change or remove features. If we remove a paid feature you rely on, we will give you reasonable notice where possible. Beta features are provided as-is and may change or be discontinued.

13. Suspension and termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that creates legal risk or harms other users. Where reasonable, we will give you notice first and a chance to fix the problem.
  • After your account is closed, you can ask us to export your data for 30 days. After that, we delete Customer Data within a reasonable period, except where we must keep it by law or for a short time in backups.
  • Sections that by their nature should survive termination, including fees owed, Disclaimers, Limitation of liability, Indemnification and Governing law, survive.

14. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will meet your requirements, that messages will be delivered, or that AI output will be accurate.

15. Limitation of liability

To the fullest extent permitted by law, Users Business Solutions will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to the Service or these Terms, even if we have been told such damages are possible. Our total liability for all claims related to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify and hold harmless Users Business Solutions from and against any claims, damages, losses and expenses, including reasonable legal fees, arising out of (a) Customer Data, (b) messages, calls or communications you send using the Service, (c) your use of the Service in violation of these Terms or applicable law, or (d) transactions between you and your customers.

17. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of New York, and you and we consent to the personal jurisdiction of those courts. Before filing a claim, please contact us at [email protected] so we can try to resolve the issue informally.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the new version on this page and update the effective date. If a change is material, we will give you reasonable advance notice, for example by email or in the Service. If you keep using the Service after the changes take effect, you accept the updated Terms.

19. General

These Terms, together with our Privacy Policy and any order or plan terms shown in your account, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may send you notices by email or through the Service.
